TERMS OF USE & INSTITUTIONAL STANDARDS

1. Acceptance of Terms and Standards
These Terms of Use and Institutional Standards (the “Terms”) govern access to and use of the Belay Empire website, platforms, systems, and any associated institutional frameworks (collectively, the “Platform”).
By accessing or using the Platform, you (whether as an individual, institution, organization, association, or other entity, collectively referred to as the “User”) acknowledge that you have read, understood, and agree to be bound by these Terms.
Where an individual accesses or uses the Platform on behalf of an institution, organization, association, or other entity, such individual represents and warrants that they have the full authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
2. Institutional Nature of Belay Empire
Belay Empire is a private unincorporated Indigenous Peoples financial institution engaged in the development, implementation, and operation of structured financial frameworks.
Belay Empire is not a depository institution, does not accept deposits, and does not operate as a bank.
Belay Empire functions as both:

an institutional system architect; and
-
an institutional operator facilitating lawful commercial processes within its frameworks
3. Scope of Activities
Belay Empire develops, implements, and operates institutional frameworks that may include:
-
lawful commercial settlement processes
-
issuance and administration of negotiable instruments
-
financial infrastructure development
-
governance and institutional design
-
trust and family office structuring
-
economic development frameworks
Participation in any Belay Empire framework is subject to institutional review, approval, and ongoing compliance with these Terms.
4. Commercial Settlement Framework
Belay Empire facilitates lawful commercial settlement through the issuance and administration of private, issuer-backed negotiable instruments, including but not limited to Bills of Exchange and Promissory Notes.
Each instrument:
-
constitutes a direct obligation of the issuer
-
is governed by its terms and the applicable commercial agreement
-
is administered within Belay Empire’s internal settlement framework
Settlement is completed in accordance with the terms of the instrument and the governing agreement between the parties, upon issuance and acceptance.
5. Commercial Law Context
Negotiable instruments and commercial settlement mechanisms are longstanding components of commercial law, utilized to facilitate trade, payment, and the discharge of obligations through private agreement between parties.
The validity and enforceability of such instruments arise from:

the instrument itself; and
-
the governing agreement between the parties
and do not inherently depend upon the involvement of depository institutions.
6. Banking Relationship Clarification
Belay Empire operates independently of depository institutions and does not rely on the banking system to create, validate, or complete settlement within its framework.
Any interaction with a depository institution is:
-
voluntary
-
limited in scope
-
and, where applicable, relates solely to the conversion of already-settled value into bank-based money at the election of the holder and subject to the policies of the institution involved
Depository institutions:
-
do not issue Belay Empire instruments
-
do not act as drawees or guarantors
-
do not validate, administer, or complete settlement within the Belay Empire framework
7. Independent Infrastructure Providers
Belay Empire may integrate with independent infrastructure providers to support secure communication, verification, and institutional coordination.
This includes the Global Indigenous Peoples Messaging Network (G-IPMN).
G-IPMN is a separate and independent entity and is not owned or operated by Belay Empire.
Belay Empire does not control, warrant, or assume liability for the operations of independent infrastructure providers.
8. User and Institutional Responsibilities
Users and participating institutions agree to:
-
act in good faith and in accordance with applicable commercial law
-
comply with the terms of any instrument or agreement entered into
-
maintain the integrity of all documents, records, and communications
-
not misuse, alter, or misrepresent any Belay Empire instrument or framework
Failure to comply may result in suspension or termination of access.
9. No Banking, Custodial, or Fiduciary Relationship
Use of the Platform does not create:
-
a banking relationship
-
a custodial relationship
-
or a fiduciary relationship
unless expressly established through a separate written agreement.
10. Limitation of Role
Belay Empire provides structured institutional frameworks and facilitates commercial processes within those frameworks.
Belay Empire does not:
-
guarantee acceptance of any instrument by third parties
-
control or override the policies of financial institutions
-
assume liability for third-party actions or refusals
11. Legal and Regulatory Positioning
Belay Empire does not issue legal tender, currency, or bank instruments and does not operate as a depository institution.
All activities are conducted within applicable legal frameworks, including:
-
state-enacted Uniform Commercial Code (UCC), including Articles 1 and 3, and where applicable Articles 4 and 5
-
recognized Indigenous Peoples’ rights frameworks, including UNDRIP and ADRIP
12. Disclaimers
All materials, frameworks, and information provided are for institutional and informational purposes only.
Nothing contained on the Platform constitutes:
-
legal advice
-
financial advice
-
regulatory advice
Users are responsible for obtaining independent professional counsel where appropriate.
13. Intellectual Property & Use Restrictions
All content, materials, systems, frameworks, designs, documents, graphics, text, images, and proprietary methodologies made available through the Platform (collectively, the “Content”) are the exclusive property of Belay Empire or its licensors and are protected under applicable intellectual property and proprietary rights laws.
No portion of the Content may be copied, reproduced, distributed, modified, transmitted, displayed, published, reverse-engineered, or otherwise used, in whole or in part, without the prior express written authorization of Belay Empire.
Access to the Platform does not grant any ownership rights, licenses, or permissions to use Belay Empire’s proprietary systems, frameworks, or materials beyond their intended institutional purpose.
Unauthorized use, reproduction, or misuse of the Content may result in immediate suspension or termination of access and may give rise to legal action.
Authorization for any permitted use must be granted in writing by duly authorized representatives of Belay Empire in accordance with its internal governance and approval procedures.
14. Confidentiality & Non-Disclosure
14.1 Definition of Confidential Information
“Confidential Information” includes all non-public, proprietary, or sensitive information disclosed or made accessible through Belay Empire, including:
-
financial frameworks and methodologies
-
commercial settlement processes
-
negotiable instrument structures and workflows
-
governance models and institutional strategies
-
communications and platform data
Confidential Information excludes information that is publicly available, previously known without restriction, or independently developed.
14.2 Obligations of Confidentiality
Users agree to:
-
maintain strict confidentiality
-
use information solely for authorized institutional purposes
-
not disclose or distribute without prior written authorization
Users must implement reasonable safeguards to protect such information.
14.3 Restrictions on Use
Confidential Information may not be used to:
-
compete with or replicate Belay Empire systems
-
reverse-engineer frameworks
-
disclose to unauthorized parties
Unauthorized use constitutes a material breach.
14.4 Required Disclosures
Where disclosure is legally required, Users must provide notice (where permitted) and cooperate to limit disclosure.
14.5 Duration
Confidentiality obligations continue indefinitely, or to the maximum extent permitted by law.
14.6 Remedies
Breach may result in:

termination
-
injunctive relief
-
damages and legal costs
15. Limitation of Liability
To the fullest extent permitted by law, Belay Empire shall not be liable for:
-
indirect, incidental, or consequential damages
-
third-party actions or refusals
-
misuse or misunderstanding of frameworks or instruments
16. Modifications
Belay Empire reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of such modifications.
17. Governing Principles
These Terms shall be interpreted in accordance with:

treaty principles
-
constitutional law
-
applicable commercial law
-
principles of contract law
-
and recognized Indigenous Peoples’ rights in international frameworks, including:
-
the United Nations Declaration on the Rights of Indigenous Peoples (UNDRIP)
-
the American Declaration on the Rights of Indigenous Peoples (ADRIP)
