1. Introduction

Belay Empire (“Belay Empire,” the “Institution,” “we,” “our,” or “us”) is a private, unincorporated Indigenous Peoples financial institution operating within the private commercial domain.

This Privacy Policy sets forth the terms governing the collection, use, retention, and protection of information obtained in connection with access to, and engagement with, Belay Empire’s institutional systems, communications, and digital interfaces.

 

Belay Empire maintains strict standards of confidentiality, discretion, and institutional privacy consistent with its operational structure and governing principles of autonomy and self-determination.

 

2. Nature of Information Collected

 

Belay Empire collects information solely to the extent necessary to evaluate, facilitate, and administer institutional engagement.

 

Such information may include, without limitation:

 

a. Institutional Information

  • Legal or organizational name of the entity

  • Structural classification (including, but not limited to, institution, trust, family office, or association)

  • Jurisdictional, operational, or governance-related information

 

b. Contact Information

  • Name and capacity of authorized representatives

  • Electronic mail address

  • Telephone or other communication identifiers

 

c. Engagement Information

  • Submitted inquiries and correspondence

  • Stated objectives, requirements, or proposed scope of engagement

  • Information necessary for alignment assessment and institutional evaluation

 

d. Technical Information

  • Internet Protocol (IP) address

  • Device, browser, and access metadata

  • General interaction data associated with use of digital interfaces

 

Belay Empire does not collect information beyond that which is reasonably necessary for institutional evaluation and engagement.

 

3. Purpose of Use

 

Information collected by Belay Empire shall be used exclusively for legitimate institutional purposes, including:

  • Evaluation of institutional inquiries and requests for engagement

  • Determination of alignment, eligibility, and institutional suitability

  • Facilitation of communications and strategic discussions

  • Structuring, implementation, and administration of institutional frameworks

  • Execution and oversight of ongoing institutional processes

 

All uses of information are conducted in a manner consistent with the principles of autonomy and self-determination.

Under no circumstances shall information be used for resale, public dissemination, or third-party marketing purposes.

 

4. Confidentiality, Non-Disclosure & Institutional Privacy

 

All information submitted to, or obtained by, Belay Empire shall be deemed confidential and proprietary in nature.

Belay Empire, its representatives, and all participating parties acknowledge and agree that:

  • all information, materials, communications, institutional processes, and documentation constitute private, non-public information

  • such information shall not be disclosed, reproduced, distributed, or otherwise transmitted to any third party without prior express written authorization

  • any unauthorized disclosure or use shall constitute a material breach of confidentiality obligations and may give rise to equitable relief, injunctive remedies, and any other remedies available under applicable law or contract

 

Belay Empire:

  • does not publicly disclose the identity of participating institutions, entities, or individuals absent express written consent

  • does not publish or distribute engagement-related information in any public or commercial context

  • maintains strict internal controls limiting access to authorized personnel on a need-to-know basis

 

Confidentiality obligations shall survive termination of any engagement, relationship, or access to institutional systems.

 

5. Data Protection & Security

 

Belay Empire implements administrative, technical, and organizational safeguards designed to protect the integrity, confidentiality, and security of information under its control.

 

Such safeguards include, but are not limited to:

  • controlled access protocols

  • secure data handling and storage practices

  • internal restrictions on information access and dissemination

 

While no system or method of transmission can be guaranteed to be entirely secure, Belay Empire maintains a standard of care consistent with private institutional operations.

 

6. Indigenous Peoples Data Governance, Autonomy & Self-Determination

 

Belay Empire recognizes that information provided by Indigenous Peoples, institutions, and affiliated entities is inherently connected to principles of autonomy and self-determination.

 

Accordingly:

  • all information shall be treated in a manner consistent with the right of Indigenous Peoples to maintain, control, protect, and direct their own data

  • information shall not be used, transferred, or disclosed in any manner that undermines Indigenous governance authority or institutional autonomy

  • Belay Empire acknowledges and respects applicable international frameworks, including principles reflected in the United Nations Declaration on the Rights of Indigenous Peoples (UNDRIP), including the right to free, prior, and informed consent where applicable

 

All data associated with Indigenous Peoples remains subject to their governance, direction, and authority, in accordance with the principles of autonomy and self-determination.

 

7. Non-Public Institutional Framework

 

Belay Empire operates as a private institutional system.

 

All engagement processes, documentation, communications, and operational methodologies are non-public and proprietary in nature.

 

No aspect of Belay Empire’s institutional framework shall be deemed public-facing or subject to general public access absent express written authorization.

 

8. Third-Party Interactions

 

Belay Empire may, in its sole discretion and where appropriate, facilitate introductions or interactions with aligned institutions, partners, or third parties.

 

In such instances:

  • information shall be disclosed only with appropriate authorization

  • disclosure shall be limited strictly to what is necessary for the intended purpose

  • all parties shall be expected to adhere to comparable standards of confidentiality and data protection

 

Belay Empire does not sell, lease, license, or otherwise distribute personal or institutional information to third parties.

 

9. Data Retention

 

Belay Empire retains information only for such duration as is reasonably necessary to:

  • evaluate and process institutional engagement

  • maintain active institutional relationships

  • comply with applicable legal, contractual, or operational requirements

 

The Institution reserves the right to retain records relevant to institutional processes, transactions, and agreements, consistent with its operational obligations.

 

10. User Rights & Requests

 

Authorized representatives may submit requests for:

  • clarification regarding information held by Belay Empire

  • correction or updating of inaccurate or incomplete information

  • reasonable limitation of use, where appropriate and consistent with institutional obligations

 

All such requests shall be subject to verification and evaluated in accordance with applicable contractual and operational considerations, and in alignment with principles of autonomy and self-determination.

 

11. Jurisdiction & Governing Principles

 

This Privacy Policy shall be governed by and interpreted in accordance with:

  • applicable principles of contract law

  • commercial law

  • governing institutional agreements

  • applicable frameworks recognizing the rights of Indigenous Peoples

 

Belay Empire operates within a private institutional context and does not function as a public data processor, consumer platform, or regulated data brokerage entity.

 

12. Policy Updates

 

Belay Empire reserves the right, at its sole discretion, to amend or update this Privacy Policy as necessary to reflect changes in operations, legal considerations, or institutional practices.

Any such updates shall be reflected by a revised effective date.

Continued engagement with Belay Empire following such updates shall constitute acknowledgment and acceptance of the revised policy.

BELAY EMPIRE — INSTITUTIONAL DISCLOSURE

Belay Empire is a private unincorporated Indigenous Peoples financial institution established for the purpose of advancing economic inclusion, institutional development, and long-term economic self-determination.

 

Belay Empire develops, implements, and operates structured financial frameworks and facilitates lawful commercial settlement through the issuance, administration, and coordination of private negotiable instruments, including Bills of Exchange, Promissory Notes, and other applicable commercial instruments, for the settlement of private obligations, contractual agreements, and authorized transactions.

 

Each instrument constitutes a direct obligation of the issuer and is documented, recorded, and maintained within Belay Empire’s internal settlement framework and related administrative systems. Settlement within the Belay Empire framework is conducted in accordance with the terms of the instrument, the governing commercial agreement between the parties, and applicable law.

 

Belay Empire operates independently of traditional depository banking systems. Any interaction with a depository institution is voluntary, limited in scope, and, where applicable, relates solely to the conversion of value represented by an already-issued instrument into bank-based money at the election of the holder and subject to the policies of the institution involved. Depository institutions are not issuers of Belay Empire instruments, do not act as guarantors of such instruments, and do not serve as settlement authorities within the Belay Empire framework.

Commercial Settlement Framework

Belay Empire facilitates lawful commercial settlement through the issuance and administration of private, issuer-backed negotiable instruments, including Bills of Exchange and other applicable commercial instruments, for the settlement of private obligations, contractual agreements, and authorized transactions.

Each instrument constitutes a direct obligation of the issuer and is documented, recorded, and maintained within Belay Empire’s internal settlement systems. Where applicable, transaction records may be transmitted through and verified by independent infrastructure, including the Global Indigenous Peoples Messaging Network (G-IPMN), to support timestamping, auditability, and institutional coordination.

Settlement within the Belay Empire framework is completed in accordance with the terms of the instrument and the governing commercial agreement between the parties, upon issuance and acceptance.

Banking Relationship Clarification

Belay Empire operates independently of depository institutions and does not rely on the banking system to create, validate, or complete settlement within its framework.

Any interaction with a bank is voluntary, limited in scope, and, where applicable, relates solely to the conversion of already-settled value into bank-based money at the election of the holder and subject to the policies of the institution involved.

Depository institutions do not issue Belay Empire instruments, do not act as drawees or guarantors, and do not participate in or complete settlement within the Belay Empire framework.

Commercial Law Context

Negotiable instruments and commercial settlement mechanisms are longstanding components of commercial law and have historically been used to facilitate trade, allocate obligations, and support performance through private agreement between parties.

 

The legal character, effect, and enforceability of any instrument depend upon its terms, the governing agreement between the parties, applicable law, and the facts and circumstances of the transaction.

INSTITUTIONAL INFRASTRUCTURE CLARIFICATION

Belay Empire may integrate with independent infrastructure providers to support secure communication, verification, timestamping, auditability, and institutional coordination. This includes the Global Indigenous Peoples Messaging Network (G-IPMN), an independent secure institutional messaging network.

G-IPMN is a separate and independent entity and is not owned or operated by Belay Empire.

LEGAL & GOVERNING FRAMEWORKS

Belay Empire’s commercial activities, negotiable instruments, and settlement processes are undertaken in accordance with treaty principles, constitutional law, applicable commercial law, principles of contract law, international law, and applicable state-adopted Uniform Commercial Code provisions, including, where applicable:

  • UCC Article 1 — General Provisions

  • UCC Article 3 — Negotiable Instruments

  • UCC Article 4 — Bank Deposits and Collections

  • UCC Article 5 — Letters of Credit

All commercial activity within the Belay Empire framework is intended to be conducted pursuant to lawful agreement, good faith, institutional policy, and enforceable commercial undertakings between the relevant parties.

Indigenous Peoples Rights and Institutional Purpose

Belay Empire operates consistent with the rights of Indigenous Peoples to economic inclusion, institutional development, and self-determination, as reflected in internationally recognized frameworks, including:

  • United Nations Declaration on the Rights of Indigenous Peoples (UNDRIP)

  • American Declaration on the Rights of Indigenous Peoples (ADRIP)

 

These frameworks inform Belay Empire’s purpose, structure, and institutional philosophy.

Important Clarifications
  • Belay Empire instruments are private commercial instruments and are not bank-issued money

  • Acceptance completes settlement in accordance with instrument terms

  • Banking institutions, if involved, act solely for conversion purposes and may decline based on policy

  • Refusal by a bank does not invalidate settlement

  • Instruments must be returned in accordance with applicable law and governing terms if not accepted

Regulatory and Risk Disclosure

Belay Empire does not issue legal tender, currency, or depository bank instruments, and does not operate as a depository institution.

 

Belay Empire is not a depository bank and does not provide FDIC-insured accounts, deposits, or banking services of the kind offered by traditional regulated depository institutions.

 

Any transaction, instrument, structured arrangement, or financial participation within the Belay Empire framework may involve risk, including the risk of loss, non-performance, dispute, delay, or loss of principal, depending on the governing agreement, the instrument used, and the parties involved.
